Terms of Service

The terms and conditions governing your use of RamServ services.

Acceptance of Terms

By accessing and using RamServ Consultancy's services, website, or client portal, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and others who access or use our services.

Services Description

RamServ Consultancy provides technology consulting, software development, cloud infrastructure, cybersecurity, AI integration, and related digital services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in separate project agreements or statements of work (SOW) entered into between RamServ and the client.

Client Obligations

Clients agree to: provide accurate and complete information required for service delivery; make timely payments as agreed; provide necessary access, credentials, and resources; designate a primary point of contact; review and provide feedback on deliverables within agreed timeframes; and comply with all applicable laws and regulations in their use of our services.

Payment Terms

Payment terms are specified in individual project agreements. Generally: invoices are due within 14 days of issuance; late payments may incur a 1.5% monthly interest charge; RamServ reserves the right to suspend services for accounts more than 30 days overdue; all fees are in CAD unless otherwise specified; and taxes are the responsibility of the client where applicable.

Intellectual Property

Upon full payment, clients receive ownership of custom-developed deliverables as specified in the project agreement. RamServ retains ownership of: pre-existing intellectual property and tools; general methodologies and frameworks; and any open-source components (subject to their respective licenses). RamServ may use project outcomes in portfolio materials unless otherwise agreed in writing.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, client data, and pricing. Confidentiality obligations survive termination of the engagement for a period of three (3) years. Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law.

Limitation of Liability

To the maximum extent permitted by law, RamServ's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim. RamServ shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Termination

Either party may terminate a project engagement with 30 days written notice. Upon termination: the client shall pay for all work completed to date; RamServ shall deliver all completed work product; and each party shall return or destroy confidential information of the other party. Termination does not affect any rights or obligations that accrued prior to the termination date.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
